A Community Practices and Audit Committee were established to maintain quality and internal control. This
committee consists of three Board Members and Substitutes who were designated along with Independent
Counselors and their Substitutes by the GRUPE management board.
The functions of the Audit Committee are to:
a) prepare an annual report of the business activities and present it to the Management Board;
b) explain the transactions and decisions taken with persons related, and to;
c) propose the hiring of independent specialists in cases deemed advisable.

CARLOS BERDEGUÉ SACRISTÁN, born in México City, received a Bachelor of Arts with a major in law at UNAM
(Universidad Nacional Autónoma de México) with honors. He also obtained a graduate degree in Comparative
Jurisprudence at the School of Law at New York University. He's been the President and Chief Executive Officer of El Cid
Resorts since 1987. He has participated in the regional board of Serfin Bank, S.N.C, and is currently President of the Board.
FERNANDO BERDEGUÉ SACRISTÁN, born in México City, received a Bachelor of Science with a major in Fishing Biology
at UNAM (Universidad Nacional Autónoma de México). In 1987 he founded Pesquera Acuìcola Camaricultores de Sinaloa,
S.A. de C.V., specializing in the export and harvesting of shrimp. He has been the Managing Director of Real Estate and
New Projects at Cid Resorts since 1990. He has collaborated in the planning, development, and construction of the Mazatlán,
Cozumel, and Cancún/Riviera Maya resort projects. Mr. Sacristan is a Member of the Board of GRUPE.
JUAN CARLOS LÓPEZ GONZÁLEZ, born in México City, received a Bachelor of Arts with a major in Economics at ITAM
(Instituto Tecnológico Autónomo de México). He obtained an MBA with a major in Finance and International Trade at McGill
University (Montreal, Canada). Mr. López worked for Banamex in the Actions and Values in Derivative Products division.
He worked for more than seven years at Citigroup/Banamex, with his last position as Vice-President, Risk Management
Division of the Corporate Division. In July 2007 he joined El Cid Resorts as Chief Financial Officer (CFO).
CURTIS KNIPE, born and raised in Boise, Idaho, he attended Oregon State University and Boise State University.
Mr. Knipe has worked in the timeshare business for over 25 years, including Director of Sales for Westgate Resorts,
Vice-President of Sales for Tempus Resorts, and Vice-President of Sales for Island One Resorts. He joined El Cid Resorts in 2007
as Director of Sales and Marketing for the Timeshare Division.
ANDRÉS GILBERTO AVILÉS BAZÚA, born and raised in Mazatlán, Sinaloa, he studied Business Administration at an undergraduate
level at ITESM (Instituto Tecnológico de Estudios Superiores de Monterrey). Since 1984 he has worked jointly with government and other
institutions in order to promote tourism in Mazatlán. Since 2001, Mr. Aviles has served as Director of Marketing for the
Mazatlan Hotel Association. Currently, he is the Director of Sales for El Cid Resorts.
HECTOR LÓPEZ TRUCIOS, born and raised in Mazatlán, Sinaloa, he studied Hotel Administration at the undergraduate
level at Universidad Autonoma de Guadalajara. He has a diploma from Cornell University of Hotel Industry. He has worked in the leisure
and tourism industry for more than 15 years in five-star Beach Hotels. In 2003, Mr. López was named the Best Food & Beverage manager
in Riviera Maya by the Check Safety First agency. He currently is the Director of Hotel Operations at El Cid Resorts.
LUIS GUILLERMO LAVEAGA GARCIA, born and raised in Mazatlán, Sinaloa, he graduated as a Public Accountant with the
best average of his generation in the Iberoamericana University. Mr. Laveaga has an academic degree in High Direction of Companies,
Hotel and Tourism, and Financial Decisions in ITESM. His professional experience consists of 20 years in the areas of audit, public
prosecutor, and financial consultant for Ernst & Young and Price Waterhouse. He joined El Cid Resorts in 1991, and currently is the
Director of Treasury.
CECILIA BEATRIZ LÓPEZ LÓPEZ, born in Guamúchil, Sinaloa, she graduated as a Public Accountant with honors
from Mazatlán University, A.C. She received a Masters in Administration of Tourist Companies from the Universidad Autonoma
de Sinaloa and participated in the program of Management Effectiveness. Ms. López's career of 24 years consists of 16 years during
which she worked for Deloitte & Touche as Manager AA in the audit area. Previously, she worked in the accounting and
consultancy areas. She currently holds the position of Director, Financial Controller.
DIANA GABRIELA LEM GONZÁLEZ, born in Mazatlán, Sinaloa, she graduated as Computer Systems Administrator and received
a Masters degree in Business Administration at ITESM (Instituto Tecnológico de Estudios Superiores de Monterrey).
Ms. Lem's professional experience consists of 20 years, mainly in the area of administrative consultancy and systems.
She currently holds the position of Director of Technology & Quality Assurance.
NICOLÁS SANTA CRUZ HENRÍQUEZ, born in Guadalajara, Jalisco, he studied Administration of Companies and specialized
in Labor and Human Resources at Universidad Autonoma de Guadalajara. He is Director of Human Resources for Cid Resorts Group,
where he initiated an integral human resources program. Mr. Santa Cruz received recognition on a national level on two occasions
by the Presidents of the Republic, as well as recognition for academic and professional results.
